Terms and Conditions

These terms set the rules for accessing and using Perfour, a construction management platform for field, administration, and project leadership teams.

1. Acceptance and scope

By creating an account, requesting a demo, purchasing a subscription, or using Perfour, the customer accepts these Terms and Conditions. If an organization uses Perfour, the person accepting these terms represents that they have authority to bind that organization.

Perfour may supplement these terms with service orders, commercial proposals, implementation addenda, service level agreements, or specific written terms agreed with the customer.

2. Service

Perfour provides software to coordinate construction projects, including modules for projects, tasks, budgets, purchase orders, expenses, RFIs, daily logs, quality, materials, and files.

Feature availability may vary based on the purchased plan, implementation status, active integrations, and configurations enabled for each customer.

3. Accounts and users

The customer is responsible for managing users, permissions, roles, passwords, and project access. Each user must use their own credentials and keep them confidential.

Perfour may suspend access when it detects unauthorized use, security risk, breach of these terms, or non-payment, with notice to the customer when reasonably possible.

4. Permitted use

The customer agrees to use Perfour only for lawful purposes related to its operations. The customer may not attempt to compromise platform security, copy the service, reverse engineer it, upload malicious code, or interfere with other users.

The customer remains responsible for the accuracy, legality, and timeliness of information uploaded to the platform, including construction documents, financial data, contracts, reports, and communications.

5. Customer data and content

The customer retains ownership of the data, files, drawings, budgets, reports, and other content uploaded to Perfour. The customer grants Perfour a limited authorization to process that content to provide, maintain, protect, and improve the service.

Perfour does not sell customer content. Perfour may use aggregated or anonymized information for metrics, security, product analytics, and feature improvement, provided it does not identify the customer or individual users.

6. Subscriptions and payment

Fees, billing cycles, taxes, plan scope, usage limits, and professional services will be defined in the applicable commercial proposal, service order, or checkout.

Unless otherwise agreed in writing, subscriptions are billed in advance and the customer must keep payment methods and tax information up to date.

7. Implementation and support

Implementation, training, data migration, configuration, integrations, or custom services are provided according to the scope agreed in writing.

Perfour may provide support through enabled channels, prioritizing incidents according to impact, severity, and the purchased plan.

8. Intellectual property

Perfour, its brands, designs, interface, code, documentation, processes, data models, and technology components are owned by Perfour or its licensors.

These terms do not transfer intellectual property rights to the customer, except for the limited, revocable, non-exclusive right to use the platform during the subscription term.

9. Confidentiality

Each party must protect the other party's confidential information with reasonable care and use it only to perform the commercial relationship.

Confidential information does not include information that is public, lawfully known before receipt, independently developed, or disclosed due to legal obligation.

10. Availability and changes

Perfour may update, improve, replace, or discontinue features to maintain the security, stability, and evolution of the product. When a material change affects contracted use, Perfour will seek to provide reasonable advance notice.

The service may be affected by maintenance, third-party failures, connectivity, external integrations, or events outside Perfour's reasonable control.

11. Liability

Perfour provides a management and traceability tool, but it does not replace the customer's professional, technical, financial, accounting, legal, or safety judgment in its projects.

To the maximum extent permitted by applicable law, Perfour will not be liable for lost profits, lost opportunities, indirect damages, decisions made with incorrect information uploaded by the customer, or interruptions caused by third parties.

12. Termination

The customer may cancel its subscription according to the purchased plan and the Refund and Cancellation Policy. Perfour may terminate or suspend the service for material breach, misuse, or non-payment.

After the relationship ends, the customer may request a reasonable export of its data during the period Perfour keeps it available for recovery, unless a legal or contractual obligation requires otherwise.

13. Governing law and contact

These terms should be adapted to the legal entity operating Perfour, the country of contracting, and the governing law stated in the commercial documents.
